After a break, prosecutors returned to interrogate Chubais. The prosecution asks who developed the Rosnanotech strategy. “This is one of our main documents. As far as I remember, when approving the strategy, I was a member of the supervisory board. It turns out that it was developed before I came to the post of head, ”said the witness. Chubais also stated that the payment for the contract with the consultant was made from interest income from funds held in deposits.
During the break, the official representative of Chubais made adjustments to his testimony to the court. “I want to make a clarification. In total, there were projects worth about 60 billion rubles - on our part and on the part of the applicant. After the consultant started work, no projects worth 10 billion rubles were approved. This is the economy, ”he told Gazeta.Ru. Also, the representative of the head of Rosnano added that Chubais took office in 2008. He noted that the contract with the consultant was concluded in December 2008.
The judge announced a five-minute break, as the prosecutors asked to bring a copy of the contract (apparently, the same one that was concluded for the services of a consultant).
“You said that you observed disagreements regarding this or that investment project. Can you give specific cases?” the lawyer asks the witness. “The conflict between the consultant and the managing directors was deliberately created by us,” Chubais replied. He added that this was done to refine and correct project errors.
Chubais noted that payment for Alemar's services did not cause any damage to the Rusnano corporation: "The agreement made it possible to save a huge part of the state-owned company's senseless expenses."
The representative of the victim began to ask questions to the witness: “How was the price of the contract determined, according to which Alemar should provide advisory services?” “Alemar's bid was one of the best. The price of their services was significantly underestimated. I note that I was running out of time, ”Chubais replied.
“Isn’t it contradictory that a person who is not an employee of the corporation is the chairman of the investment committee?” the prosecutor asked, referring to Melamed, who at that time did not work for Rosnano. Chubais gave a negative answer.
Chubais was also asked if he maintains relations today with the former deputy general director of the state corporation Andrei Malyshev and whether he is in Russia now. How cunning! “Yes, I support. From Melamed, the prosecutors moved to Ponurov. Chubais is asked what tasks were set before the former financial director. The witness replied that Ponurov had a large amount of work: "He was responsible for holding tenders and preparing contracts."
The prosecution asked what were the results after the completion of cooperation with Alemar. Chubais replied that the work on all points of the agreement had been completed positively.
When asked by the prosecutor how many projects the Alemar company worked on, Chubais said from memory that they had analyzed more than 30 projects. The witness noted that the rejection of projects was a very important result for him: “This means that we did not spend 20 billion rubles on useless projects.”
According to Chubais, the main document that recorded the consultant's work was a "quick analysis". How the exchange of information between the investment committee and the consultant was arranged, the witness could not explain. “For me, the position of the investment committee, chaired by Melamed, was fundamental,” said Chubais.

The witness is asked what the work of the chosen adviser represented under the contract. Chubais again listed the previously mentioned five tasks, only the presentation board is missing. “Motivation: our adviser should analyze the global experience of our company and develop the main provisions on the company's motivation system. The second direction: express analysis. Analysis of the scheme of financing business models of projects. Advisors studied the scope of sales, its elasticity and expressed their point of view. Fourth, strict control over investment spending. In this direction, the financial adviser proposed the concept of creating a general budget, and single out the investment component as a separate component, ”said the head of Rosnano.
The tender was held absolutely legally and correctly, Chubais insists. The results were presented to the collective governing body: it approved the results and signed the documents. The winner was, recall, the company "Alemar", co-owned by Melamed. The prosecutor asks whether Chubais, as the general director of the corporation, looked through the tender documentation, according to which CJSC IFC Alemar won. The witness replies that he did not approve it and did not get acquainted with the provisions, since this was not part of his official duties. “We have received documents stating that Melamed is the vice-president of the Alemar company. We had doubts about affiliation, so we brought the issue up for collective discussion. By law, contracts whose value exceeds 1% of the company's authorized capital must be submitted for collective consideration. After the meeting, we made a unanimous decision to approve the consultant," Chubais said.
Chubais further said that the company held a tender and announced the recruitment of an investment consultant. “It was absolutely legal. The main selection criterion is the price. Criteria for investment experience were also laid down. Five tasks were set for potential consultants: express analysis of projects, analysis of financial models of the project, development of a control system for targeted spending of funds and the task of developing a motivation system, ”the witness listed.
“Explain what you know about the involvement of an adviser, who took the initiative? Who took part as a commission for the selection of an adviser, according to what criteria did the company win? ”The prosecutor continues. “I know what the deal is about. September-October 2009 the company was reviewing applications, but had no approved project. In 2009, we were criticized that we live on the funds allocated to us, do nothing. Therefore, one of the main tasks was simply to start financing projects. To speed up the start of work, we have introduced bonuses for employees for approved projects. However, approval is only the beginning of the work. Then you need to build a plant, bring it to payback. Therefore, there was a risk, it was necessary to offer a systemic solution that would minimize the risks. That is why, by me personally, I want to emphasize this, I said that we absolutely need an investment adviser.
The prosecution is interested in what tasks were set by the state when creating the corporation and what tasks the general director had. Chubais says that there were several of them: “The main thing is the selection and financing of investment projects in the nanoindustry. We also had to popularize nanotechnologies, create educational projects, attract experts.”
The prosecutor asked the witness to describe the picture that appeared before him when he headed the state corporation. “The law firm was established a year before my arrival. By September 2009, when I arrived, the starting staff was recruited - 60-70 people. The people were hired by Melamed. The company then began to work on collecting applications for financing projects related to nanotechnology. When I came, there was not a single approved project, ”Chubais replied.
Chubais said that he did not have hostile relations with Melamed, they were connected by a working relationship. Prosecutors are asking how long ago and under what circumstances the head of Rosnano met the defendants. “I met Melamed at the place of my previous job. Probably in 1999-2000. I met Panurov later, but also at a joint job, ”said the witness.
Chubais was already interrogated in the Rosnano case as a witness in 2015. After the interrogation, he stated that he was deeply convinced "of the absolute innocence of both Melamed and Ponurov", and that it would be possible to prove this "in any honest, competitive process of the investigation." “We don’t abandon our own,” Chubais said then.
The judge explained the rights and responsibilities of the witness. He signed the necessary documents. It should be noted that, according to information on the website of the courts of general jurisdiction in Moscow, since May 22, 2017, when the preliminary hearing in the Rusnano case was held, the court has postponed court hearings 30 times for about six months. The main reason was the absence of witnesses.

But the Accounts Chamber does not seem to agree with this. At today's press conference, dedicated to the results of the inspection of Rosnano, it was announced that the company "improperly performed the tasks assigned to it to develop the nanoindustry." Chubais himself has already spoken about all this.
According to NTV correspondent Egor Kolyvanov, the results of the audit of the corporation "Rosnano" by the Accounts Chamber occupy 709 pages and 400 pages of applications. According to the auditors, this is one of the major works done by the department.

Sergei Agaptsov: "Rosnano's investments in the total amount of 13.9 billion rubles, directed in 2009-2012 to the project through a loan and a contribution to the property capital of Usolye-Sibirsky Silicon OJSC, are, in our opinion, inefficient."
Rosnano explained: no one could have imagined that polysilicon prices would drop dozens of times in five years. And if an enterprise that has become unprofitable is simply closed, as required by business logic, this threatens a social explosion in the city.
Anatoly Chubais: “Failure to implement the project is fraught with a social explosion. That is why we continue to invest in the project. That's why we keep it. Yes, it was easier for me to take it and close it. Bankrupt, people on the street. Equipment - from the auction. Dot. According to business logic, I only had to do this. I don't do it consciously. The cost of the work of the most expensive lawyers and lawyers in Moscow, serving Western companies (that is, living at Western rates), averages one and a half to two thousand dollars per hour of work. For a particularly complex legal consultation (including foreign law) billed in the amount of 10-20 thousand dollars.

Apparently, Rosnano is not aware that deoffshorization is one of the most important areas of the state's economic policy. Let me remind you that President Vladimir Putin signed a law on public procurement from offshore companies.
So far, this law applies only to state bodies, and not to state-owned companies. But the trend is quite obvious: “Who wants to keep money somewhere abroad - please. The law does not prohibit this, but the withdrawal of financial resources from the sectoral turnover through shell companies is unacceptable.”
Knowing this position of the president, Rosnano Management Company, without holding a tender, gives the offshore a purchase for more than 200 million rubles. What is this, if not disregard for the position of the head of state on a matter of principle?
The subject of the transaction is also of interest - the actions that the offshore company will have to perform for a huge reward:

What prevented effective managers from selling shares that they had previously bought, and why a full-fledged competition was not held again, is unknown.
Media publications shed some light on this story. We are talking about the exit of Rosnano from another dubious project for the design of pumps, in which billions of rubles were invested. As reported by the media, Russian oilmen are these "nanopumps" for inefficiency.
The buyer of "nanopumps" was predictably not found. As a result, Chubais's company extended the terms for the sale of the block of shares.
Values and corporate culture
If you think that the purchases of the management company "Rosnano" have reached the bottom, then you are deeply mistaken.
As a solid organization, the Chubais company pays special attention to values and corporate culture. The top manager of Rosnano knows that the main thing is not the result (ie profit), but the management process. In the process, effective managers get tired and bored and decide to entertain themselves with something out of the ordinary.

The list of works for this public procurement is pleasing to the eye: there are both ethical models and company traditions. In a word, everything without which the creation of nanotechnologies is impossible.
All this would be ridiculous if we were talking about the funds of a private company - at least hire clowns instead of managers in the office, have fun as you can for your money.
But here we are talking about fun at the expense of the state. If it is considered normal in Rosnano to spend 5 million on “values”, then what can we say about some miserable corporate parties?
Why Organs Don't Work
As I have already noted, the law on the procurement of state-owned companies is formulated in such a way that it leaves a huge field for abuse. It is necessary to impose strict restrictions on the spending of state-owned companies. Establish that money can be spent exclusively on core activities. Introduce a ban on wasting money on foreign lawyers and other items of expenditure that can be imported.
Secondly, only their participants have the right to file complaints about public procurements of state-owned companies, which also reduces the possibility of public control.
Let me remind you once again that we are not talking about individual shortcomings in the activities of a generally successful company. Rusnano suffered losses from inefficient projects worth 13 billion rubles, and the Accounts Chamber recognized half of all the state corporation's projects as failures.
This state of affairs in the management company "Rosnano" will remain unchanged exactly as long as the state does not run out of patience and will not have the will to stop financial lawlessness. Judging by the recent searches and the intensification of criminal cases against the company's backers, this moment may be closer than ever.
Shortly before the new year, the chairman of the board of Rosnano, Anatoly Chubais, found himself at the center of a scandal. The network got his speech at a corporate event, in which he claimed that "we have a lot of money" and promised employees double bonuses against the backdrop of the success of Rosnano. Lawyer Ilya Remeslo checks Chubais's words with the company's documents and finds out what financial condition it is actually in, how Rusnano reports on its work, and what huge sums of the state budget are spent on.
Let's start with the main thing - with the structure. Rosnano is a company founded by the state and created entirely with state money. According to the documents, in total, 182 billion rubles were allocated from the budget for the entire period of the company's existence.
According to official data, in addition to the main legal entity (OJSC Rosnano), the Rosnano group includes several more subsidiaries, including Rosnano Management Company LLC.
In 2014, the management structure at Rosnano changed. Chubais officially resigned from the position of chairman of the board of OAO Rusnano and headed Rosnano Management Company (where he is a minority shareholder). Most of the employees left for the same company, following Chubais. Then, an agreement was concluded between OJSC Rosnano and Management Company Rosnano, according to which management functions are transferred to the Management Company.

To evaluate the results of the work, let's take a look at the company's main document - the development strategy until 2020.
When Rosnano Management Company was just being created, it was planned that in 2015, upon reaching certain indicators, it would be gradually sold to private investors. For example, the volume of product sales was to reach 300 billion rubles a year.
Guess what happened to the planned indicators and whether private investors acquired Rosnano Management Company? Chubais, answering the relevant question of journalists, showed some modesty - "the issue is being discussed."
The concept of "production volume" in "Rosnano" is interpreted in its own way. The numbers given in the company's report are amazing. The plan has been fulfilled!

Surprisingly, Rosnano's sales include products all companies in which the company has invested or provided loans. Without any assessment of the volume and degree of impact of investments. Convenient: in order to ascribe to yourself the merits of a foreign company, it is enough just to conclude an agreement with this company, and you can safely credit all the products of this company to your report.
It is indicative that the Accounts Chamber, during the audit of Rosnano, found exactly the same thing.

Last year, all the news agencies spread the colorful news: “Following the results of 2014, Rusnano reached a net profit of 8 billion rubles”
To be convinced of such impressive results, let's see what internal documents say about this. After all, in 2011-2012 the company worked with a loss of almost 50 billion rubles, and then suddenly such an outstanding result.
But in the documents we find ... losses in the amount of 14.6 billion rubles. What's the catch?
If you carefully read the news above, you can make sure that we are not talking about Rosnano itself, but about the "Rosnano group of companies." This group includes the eponymous management company, which receives billions of money "for management" annually, and other smaller companies. That is, by shifting money from one pocket to another and changing the names in a press release, they are trying to convince us that 3.5 billion a year at Rosnano Management Company is not an expense, but a “net profit”.
Moreover, Rusnano is unprofitable to such an extent that it directly violates Russian law and is in danger of liquidation. Let's take a look at the company's net asset value statement:
Side note: in accordance with the law on joint-stock companies, if a company has negative net assets, then it must either pay off debts or increase its authorized capital. If this state continues for two years or more, then the company must be liquidated.
Investment attractiveness
Anatoly Chubais reports on attracting investments with enviable regularity. The company's press releases mentioned both Chinese and Taiwanese funds (with the latter, however, something went wrong).
When it comes to investments, Rusnano is again practicing language constructs:

Any financial or legal dictionary will confirm that investments are funds. Accordingly, it is unacceptable to replace the presence of actually attracted money (investments) with the "obligations" of certain investors.
It is not known whether investors will comply with them and whether they are even able to finance in such a volume. But these little things do not confuse effective investment hunters. The main thing is to report back.
Public procurement without competition
With the transfer of management functions to Rosnano Management Company, it became much more difficult to find out the company's expenses (whether this was the original idea when creating the Management Company is not clear, but that's how it looks). About spending management company practically nothing is said in the annual report, so the picture had to be reconstructed using public procurement data.
Despite the agreement with the management company, public procurement is also carried out by Rosnano itself. Moreover, b O Most of them are carried out without competitive procedures - 181 million rubles were spent under the “purchase from a single customer” scheme.
As for the purchases of the management company itself, they are very diverse. There are many relatively small (1-5 million rubles) purchases with the participation of foreign law firms. In total, more than 100 million rubles were spent on them (one gets the impression that there are simply no lawyers in the company, and any legal issue transferred to foreign "outsourcing").
Almost all major purchases in the company go without competitive procedures. A “request for proposals” scheme is used, in which the customer company chooses with whom to conclude a contract, without bidding and reducing the amount. Rosnano managers have reserved the right to do without bidding when it suits them.

We learn from the Rusnano procurement base that in 2014 a security agreement was concluded with the Svyatovit-A company.
The amount of the contract is 115 million rubles. Neither in the documentation for the public procurement, nor in the contract does it say anywhere for how long this amount is payable. On the other hand, the draft agreement states that “the Contractor’s services are monthly payable in the amount agreed upon in Appendix No. 1, regardless of the volume of services provided by the Contractor in the billing month” (at the same time, oddly enough, nothing is indicated in Appendix No. 1).
That is, a security company can do nothing and quietly receive 115 million rubles from Rosnano.
What prevented you from holding a full-fledged auction, choosing a performer for a reasonable price?

It would be wrong to say that Rosnano Management Company does not work, but is only engaged in promotion on the Internet. It also serves as a good feeder for Western law firms.
Rosnano loves them so much that they generously give them orders without competition. Annual expenses for lawyers and consultants amount to hundreds of millions of rubles. One gets the impression that the company simply does not have its own lawyers, the company turns to third-party lawyers for the slightest reason. And for some reason, expensive foreign firms almost always turn out to be executors.

So far, this law applies only to state bodies, and not to state-owned companies. But the trend is quite obvious: “Who wants to keep money somewhere abroad - please. The law does not prohibit this, but the withdrawal of financial resources from the sectoral turnover through shell companies is unacceptable.”
Knowing this position of the president, Rosnano Management Company, without holding a tender, gives the offshore a purchase for more than 200 million rubles. What is this, if not disregard for the position of the head of state on a matter of principle?
The subject of the transaction is also of interest - the actions that the offshore company will have to perform for a huge reward:
For this crazy money, the offshore will look for a buyer for the share of Rosnano ... in the offshore itself! The most natural legal nonsense.
What prevented effective managers from selling shares that they had previously bought, and why a full-fledged competition was not held again, is unknown.
Media publications shed some light on this story. We are talking about the exit of Rosnano from another dubious project for the design of pumps, in which billions of rubles were invested. According to media reports, Russian oil workers have criticized these "nanopumps" for inefficiency.
The buyer of "nanopumps" was predictably not found. As a result, Chubais's company extended the terms for the sale of the block of shares.
Values and corporate culture
If you think that the purchases of the management company "Rosnano" have reached the bottom, then you are deeply mistaken.
As a solid organization, the Chubais company pays special attention to values and corporate culture. The top manager of Rosnano knows that the main thing is not the result (ie profit), but the management process. In the process, effective managers get tired and bored and decide to entertain themselves with something out of the ordinary.

After developing values, it was decided to take seriously the corporate culture and raise the level of skills of employees. Rosnano decided to order trainings on the topic “Motivation, potential and risk factors in a career”.
The list of works for this public procurement is pleasing to the eye: there are both ethical models and company traditions. In a word, everything without which the creation of nanotechnologies is impossible.
All this would be ridiculous if we were talking about the funds of a private company - at least hire clowns instead of managers in the office, have fun as you can for your money.
But here we are talking about fun at the expense of the state. If it is considered normal in Rosnano to spend 5 million on “values”, then what can we say about some miserable corporate parties?
Why Organs Don't Work
As I have already noted, the law on the procurement of state-owned companies is formulated in such a way that it leaves a huge field for abuse. It is necessary to impose strict restrictions on the spending of state-owned companies. Establish that money can be spent exclusively on core activities. Introduce a ban on wasting money on foreign lawyers and other items of expenditure that can be imported.
Secondly, only their participants have the right to file complaints about public procurements of state-owned companies, which also reduces the possibility of public control.
Let me remind you once again that we are not talking about individual shortcomings in the activities of a generally successful company. Rusnano suffered losses from inefficient projects worth 13 billion rubles, and the Accounts Chamber recognized half of all the state corporation's projects as failures.
This state of affairs in the management company "Rosnano" will remain unchanged exactly as long as the state does not run out of patience and will not have the will to stop financial lawlessness. Judging by the recent searches and the intensification of criminal cases against the company's backers, this moment may be closer than ever.
